The purchase of cryptographic tokens called AIH from aihumans.pro AI Humans IFZA Digital Park, Silicon Oasis, Dubai, UAE (the “Company”) is governed by the Terms and Conditions (“Terms”). As the purchaser, you (“you” or the “Purchaser”) and the Company are referred to as “Parties.” This document does not solicit investment and is not related to the offering of securities in any jurisdiction. The AIH token sale is described in this document.

By purchasing AIH, and in accordance with the law, you agree not to hold the Company and its past, present, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors, and assigns (the “AI Humans Team”) responsible for any losses or any special, incidental, or consequential damages related to the sale of AIH, including losses associated with the terms set forth below.

If you do not agree to these Terms, do not purchase AIH from the Company. By purchasing AIH from the Company, you are bound by these Terms and any Terms incorporated by reference. If you have any questions regarding these Terms, please contact the Company at contact@aihumans.pro.

Do not purchase AIH tokens if you are not experienced in dealing with cryptographic tokens and blockchain-based software systems. Prior to purchasing AIH, you should carefully consider the terms listed below and, if necessary, consult an appropriate lawyer, accountant, or tax professional. If any of the following terms are unacceptable to you, do not purchase AIH.

Individuals, entities, or companies who possess significant experience and understanding of cryptographic tokens, including Binance Smart Chain tokens, and blockchain-based software systems should only purchase AIH. Purchasers should have a functional understanding of the storage and transmission mechanisms associated with other cryptographic tokens. While the company will be available to assist purchasers during the sale, the company will not be responsible for any loss of BTC, ETH, or AIH resulting from actions taken by or omitted by purchasers. If you lack such experience or expertise, you should not participate in the sale of AI Humans or purchase AIH. By participating in the AI Humans sale, you confirm that you satisfy the requirements mentioned in this paragraph.

The Purchaser agrees to buy, and the Company agrees to sell, the AIH tokens according to the following terms:

The terms of the AIH token sale are as follows:

Individuals who are citizens, residents (tax or otherwise) or green card holders of the United States of America, or other countries where the purchase of cryptocurrencies is prohibited by law, are not permitted to acquire AIH tokens.

During the AI Humans sale, the Company and its shareholders will not purchase AIH tokens. The Company also warrants that it and its shareholders will not acquire AIH tokens from any third party during the AIH sale.

All purchases of AIH tokens are final and non-refundable. By purchasing AIH tokens, the purchaser acknowledges that neither the Company nor any of its affiliates, directors, or shareholders are obligated to provide a refund for any reason.

Disclaimer of Warranties and Risk of Uninsured Losses

The Purchaser acknowledges and agrees that the purchase of AIH is made at the Purchaser’s sole risk, and that AIH is provided on an “as is” basis without any warranties of any kind, whether express or implied, including, but not limited to, warranties of title, merchantability, or fitness for a particular purpose. None of the AI Humans Team warrant that the process of purchasing AIH will be uninterrupted or error-free. To the extent permitted by applicable law, any legally required warranty period is limited to the shorter of thirty days from first use or the minimum period required.

Additionally, it should be noted that AI Humans are uninsured, unless specifically insured privately by the Purchaser. Unlike bank accounts or accounts at some other financial institutions, there is no public insurer or private insurance arranged by the Company that would offer recourse in the event of loss or loss of utility value. Therefore, the Purchaser assumes all risks associated with the ownership, storage, and transmission of AIH.

If you lose the private key(s) associated with your digital wallet or vault that contains your AIH, you will lose access to those tokens. Any unauthorized third party who obtains your private key(s), such as by accessing your hosted wallet login credentials, could potentially steal your AIH. If you encounter any errors or issues with your chosen digital wallet or vault, or fail to properly maintain or use it, you may also risk losing your AIH. It’s important to follow the procedures for buying and receiving Tokens precisely, as any mistakes, such as providing the wrong address or an incompatible address, could result in the loss of your Tokens. Please note that AIH tokens are not insured like bank accounts or accounts at some other financial institutions, and therefore there is no recourse if you lose access to your tokens.

Risks Associated with Binance Smart Chain Protocol
The AI Humans platform and AIH tokens are based on the Binance Smart Chain protocol. Any breakdown, malfunction, or abandonment of this protocol could significantly impact the platform and AIH. Additionally, technological advances such as quantum computing or improvements in cryptography could pose risks to the platform and AIH by making the cryptographic consensus mechanism underlying the Binance Smart Chain protocol ineffective.
Risk of Mining Attacks
AIH, like other decentralized cryptographic tokens based on the Binance Smart Chain protocol, are vulnerable to attacks from miners who validate AIH transactions on the Binance Smart Chain blockchain. Such attacks may include double-spend attacks, majority mining power attacks, and selfish-mining attacks. Successful attacks could lead to inaccuracies in executing and recording transactions involving AIH, thereby posing a risk to the platform and AIH.
Risk of Hacking and Security Weaknesses
The platform and AIH could be compromised by hackers or other malicious groups, who may use a variety of methods, including malware attacks, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing, and spoofing. Since the platform is based on open-source software, there is also a risk that a third party or member of the Company team could unintentionally or intentionally introduce weaknesses into the platform’s core infrastructure, which could negatively impact the platform and AIH, including their utility for obtaining services.

The purchaser acknowledges and agrees that the purchase of AI Humans (AIH) is solely at the purchaser’s risk and on an “as is” basis without any express or implied warranties, including but not limited to warranties of title, merchantability, or fitness for a particular purpose (except where prohibited by applicable law, in which case any legally required warranty period is limited to the shorter of thirty days from first use or the minimum required period). None of the AI Humans team warrants that the process for purchasing AIH will be uninterrupted or error-free.

There are risks associated with owning and using AIH. The purchaser acknowledges and assumes the risk of losing access to AIH due to the loss of private key(s), custodial error, or purchaser error. A private key is necessary to control and dispose of AIH stored in a digital wallet or vault. Loss of the private key(s) associated with the digital wallet or vault storing AIH will result in the loss of the AIH. Any third party that gains access to the private key(s), including through access to login credentials of a hosted wallet service, may also misappropriate the AIH. Errors or malfunctions related to the digital wallet or vault, including the purchaser’s failure to properly maintain or use such a digital wallet or vault, may result in the loss of the AIH. The failure to follow the procedures set forth for buying and receiving Tokens may also result in the loss of the Tokens, such as providing the wrong address for receiving AIH or providing an address that is not BEP20 compatible.

Market Risks Associated with AIH
If AIH tokens are traded on third-party exchanges, such exchanges may be relatively new and subject to little or no regulatory oversight. As a result, they could be more susceptible to fraud or manipulation. Additionally, if third parties assign an external exchange value to AIH (e.g., in digital or fiat currency), such value could be highly volatile and subject to fluctuation.

Risk of Uninsured Losses
AIH tokens are uninsured unless you obtain private insurance to insure them. This means that in the event of a loss or loss of utility value, there is no public insurer or private insurance arranged by the Company to provide recourse to you.

Risks Associated with Uncertain Regulations and Enforcement Actions
The regulatory status of AIH tokens and distributed ledger technology is unclear or unsettled in many jurisdictions. It is challenging to predict how regulatory agencies will apply existing regulation to this technology and its applications, including the AI Humans platform and AIH tokens. It is also difficult to predict how legislatures or regulatory agencies may implement changes to laws and regulations affecting distributed ledger technology and its applications, including the platform and AIH tokens. Regulatory actions could negatively impact the platform and AIH tokens in various ways, including a determination that the purchase, sale, and delivery of AIH tokens constitute unlawful activity or that AIH tokens are a regulated instrument that requires registration or licensing of those instruments or some or all of the parties involved in their purchase, sale, and delivery. If regulatory actions or changes to law or regulation make it illegal or commercially undesirable to operate in a particular jurisdiction, the Company may cease operations in that jurisdiction.

Risks Related to Taxation
The tax implications of owning AIH are uncertain. It is recommended that you seek your own tax advice when purchasing AIH, as it may result in adverse tax consequences, including income taxes, withholding taxes, and tax reporting requirements.
Risk of Competing Platforms
There is a possibility that other platforms could be created that use the same open-source code and protocol as the AI Humans platform and offer services that are similar to those provided by AI Humans.
Risks from the Absence of Governance Rights
Since AIH does not grant any governance rights to the AI Humans platform or the Company, all decisions concerning the Company’s products or services within the platform will be made by the Company at its sole discretion. These decisions could have negative impacts on the platform and the usefulness of any AIH you own, including their value for acquiring services.
Unexpected Risks
AIH and other cryptographic tokens are innovative and untested technologies. In addition to the risks outlined in this Annex A of these Terms, there may be unforeseen risks associated with your purchase, ownership, and use of AIH. Such risks may also emerge as unforeseen variations or combinations of the risks discussed in this Annex A of these Terms.
